OpenMatch — Terms and Conditions

Version: 3.0
Effective Date: 15 October 2026
Operated by: OpenMatch UG (haftungsbeschränkt)

1 — Who We Are

1.1 The OpenMatch platform (the "Platform") is operated by OpenMatch UG (haftungsbeschränkt), with registered address at c/o Theresa Ensser, Fehrbelliner Str. 14A, 10119 Berlin, Germany, entered in the commercial register under number HRB 285941 B ("OpenMatch", "we", "us", "our").

1.2 OpenMatch operates as a marketplace intermediary. We connect you with independently operated sports and leisure venues ("Venues") that list their facilities on the Platform. When you make a booking through OpenMatch, you enter into a contract directly with the Venue for the use of that facility. OpenMatch is not the operator of any Venue and is not responsible for the facilities, staff, or services provided at any Venue.

1.3 You can contact us at: support@open-match.com. Our full legal notice (Impressum) under § 5 DDG is permanently available in the app under Profile → Legal → Impressum.

2 — Acceptance of These Terms

2.1 These Terms and Conditions (the "Terms") govern your use of the OpenMatch mobile application, website, and any related services (together, the "Platform"). By creating an account, making a booking, or using the Platform in any way, you agree to be bound by these Terms.

2.2 If you do not agree to these Terms, you must not use the Platform.

2.3 We may change these Terms when the law or our service changes. We will notify you of material changes via the Platform or by email at least thirty (30) days before they take effect. Changed Terms only apply to you once you expressly accept them.

2.4 These Terms are recorded with your acceptance timestamp, IP address, device information, and Platform version at the time of acceptance. This record constitutes proof of your agreement.

3 — Eligibility

3.1 You must be at least 16 years old to create an account or make a booking on the Platform. We collect your date of birth to check this. Individual venue operators may set a higher minimum age for their venue (for example 18 or 21); that limit is shown to you before booking and is checked at the time of booking.

3.2 You must be a natural person acting in your personal capacity (as a consumer) or on behalf of a group of individuals for personal, non-commercial sporting or leisure activity. Use of the Platform for commercial resale of Facility Slots is not permitted without OpenMatch's prior written consent.

3.3 You may hold only one active account. Creating multiple accounts to circumvent any restriction or policy is a breach of these Terms and may result in all accounts being suspended.

3.4 By using the Platform, you represent that you have the legal capacity to enter into a binding contract under the laws of your country of residence. If you are not yet of full age, you represent that you are paying for the booking with means placed at your free disposal (§ 110 German Civil Code) or that your parent or guardian has consented.

4 — Your Account

4.1 Registration. To make a booking, you must register for an account by providing your full name, email address, phone number, and a password. You are responsible for ensuring that all information you provide is accurate and up to date.

4.2 Account security. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@open-match.com if you suspect unauthorised use of your account. OpenMatch is not liable for losses arising from unauthorised account access where you have failed to maintain reasonable security of your credentials.

4.3 Account closure. You may close your account at any time by contacting support@open-match.com. Account closure does not affect any bookings already confirmed, and does not affect any accrued rights or liabilities of either Party.

5 — Making a Booking

5.1 How bookings work. When you select a Facility Slot and proceed to checkout, you make an offer to book that slot from the Venue. Your booking is confirmed — and a contract formed between you and the Venue — when you receive a booking confirmation from OpenMatch. OpenMatch sends this confirmation on behalf of the Venue.

5.2 Your contract. Your contract for the use of the Facility is with the Venue, not with OpenMatch. OpenMatch is not a party to that contract. OpenMatch facilitates the booking and processes the payment on the Venue's behalf.

5.3 Booking on behalf of others. If you book a Facility Slot for a group, you are responsible for ensuring that all members of the group comply with the Venue's house rules, any age restrictions, and these Terms. You are the point of contact for the booking and are responsible for the booking in its entirety.

5.4 Payment. Payment for bookings is processed via Stripe. You authorise OpenMatch to charge your payment method for the full Booking Value at the time of booking. Accepted payment methods are displayed at checkout. You agree not to initiate chargebacks except where you have first raised a dispute through OpenMatch's dispute resolution process (Article 8).

5.5 Booking confirmation. Your confirmed booking will be shown in your account and you will receive a confirmation by email and/or in-app notification. Please check your booking details carefully. If you believe there is an error in your booking, contact support@open-match.com immediately.

6 — Cancellation and Refund Policy

6.1 Customer cancellation — refund tiers. Every confirmed booking is subject to three refund tiers, determined by how far before the scheduled start time of the Facility Slot you cancel:

(a) full refund of the Venue Amount if you cancel before the Cancellation Window closes;

(b) 50% of the Venue Amount if you cancel after the Cancellation Window has closed but before the No-Cancellation Window opens;

(c) no refund if you cancel within the No-Cancellation Window or the Facility Slot has already started.

Refunds will be returned to your original payment method within five (5) to ten (10) business days, depending on your payment provider.

6.2 Applicable windows. The length of the Cancellation Window and of the No-Cancellation Window is set by the respective Venue per resource type. Both values are shown to you during the booking flow before the booking is concluded and are repeated in your booking confirmation; the values displayed at the time of your booking govern. Where a Venue sets no differing values, 24 hours (Cancellation Window) and 2 hours (No-Cancellation Window) apply.

6.3 No-show. If you fail to arrive at the Facility within a reasonable time after the scheduled start of your Facility Slot without having cancelled, this is a No-Show. The booking amount is not refunded (the slot was reserved for you and could not be re-sold); no additional no-show fee is charged.

6.4 Venue cancellation. If a Venue cancels your confirmed booking, you are entitled to a full refund — including the OpenMatch service fee. OpenMatch will notify you and process the refund automatically. You may also choose to rebook an equivalent slot if one is available.

6.5 German consumer — right of withdrawal. A booking of a Facility Slot for a specific date or time is a contract for a leisure-related service within the meaning of § 312g(2) No. 9 BGB. Accordingly, the statutory 14-day right of withdrawal under §§ 312g, 355 BGB does not apply to such bookings. Your right to cancel the booking under the Cancellation Policy (Article 6.1) is unaffected and is governed separately by that policy. This exemption is disclosed to you before you complete the booking.

6.6 Service fee on cancellation. The OpenMatch service fee compensates the successful intermediation of your booking (Geschäftsbesorgung) and is earned when your booking is confirmed. If you cancel a booking, the service fee is therefore not refunded — with two exceptions where it is refunded in full: (a) you cancel within 60 minutes of payment and before the Facility Slot has started (cooling-off), or (b) the cancellation is made by the Venue or by OpenMatch (Article 6.4). The refund tiers in Articles 6.1–6.2 apply to the Venue's portion of the price.

6.7 Refund method. All refunds are returned to the original means of payment used for the booking (§ 357(3) BGB). Refunds are never issued as platform credit, vouchers, or wallet balance unless you expressly agree to a voucher for a specific case.

7 — Open Matches

7.1 The Platform allows users to create and join "Open Matches" — public sporting events at Facilities where strangers can book individual spots and play together.

7.2 Host responsibility. If you create an Open Match, you are the host. You are responsible for: (a) ensuring the Facility booking is confirmed before inviting participants; (b) communicating accurate information about the Open Match (sport, skill level, start time); (c) moderating participant conduct to the extent within your control.

7.3 Participant responsibility. If you join an Open Match created by another user, you acknowledge that OpenMatch has not vetted the host or other participants, and that participation is at your own risk. OpenMatch does not guarantee the safety, skill level, or conduct of other participants.

7.4 Cancellation by host. If a host cancels an Open Match, OpenMatch will automatically notify all participants and refund their booking contributions in full. Repeated unjustified cancellations by a host may result in account suspension.

7.5 Conduct during Open Matches. Participants are expected to behave respectfully and in accordance with Article 11 (User Conduct). Any misconduct during an Open Match should be reported via the in-app reporting tool.

8 — Payments, Fees, and Disputes

8.1 Payment processing. All payments on the Platform are processed by Stripe. By using the Platform, you agree to Stripe's terms of service, which are available on their website. OpenMatch is not responsible for errors or failures in payment processing that are caused by Stripe.

8.2 Currency. Prices are displayed in the local currency of the Venue. Currency conversion charges, if any, are applied by your card issuer and are not OpenMatch's responsibility.

8.3 Dispute resolution. If you have a dispute about a booking — for example, you believe the Facility was not as described, the Venue was closed, or a service was not delivered — you must first report it to OpenMatch via support@open-match.com or the in-app dispute tool within seventy-two (72) hours of the scheduled Facility Slot. OpenMatch will investigate and mediate between you and the Venue. OpenMatch's resolution is not legally binding, but we will apply it to determine any refund from Venue payouts. Your statutory consumer rights are not affected.

8.4 Chargebacks. If you initiate a chargeback with your payment provider without first raising a dispute through OpenMatch, OpenMatch reserves the right to suspend your account pending investigation. Unjustified chargebacks may result in permanent account closure.

8.5 Service Fee. OpenMatch charges a service fee on bookings made through the Platform, calculated as a percentage of the Venue's listed price for the Facility Slot. The applicable service fee rate is always displayed at checkout before you confirm payment. The service fee is charged in addition to the Venue's listed price. Players with an active Pro subscription may receive a reduced or waived service fee as part of their subscription benefits. OpenMatch may adjust the service fee rate from time to time; the rate displayed at the point of checkout is the rate that will be charged to you.

8.6 Pro Subscription. OpenMatch offers a paid subscription ("openmatch Pro"). It is sold exclusively as an in-app subscription through the Apple App Store or Google Play and is governed by Section 18, which sets out the benefits, the price and billing period, automatic renewal, cancellation, refunds and the right of withdrawal.

8A — Venue Partnership Terms

This section applies only to users who register as venue operators.

8A.1 Service Fee Model. OpenMatch charges a service fee to Players on top of the Venue's listed price. This fee is paid by the Player — not the Venue. The Venue receives 100% of their listed Facility Slot price, minus standard payment processing fees charged by the payment provider (e.g., Stripe).

8A.2 Platform Commission (Launch Period). During the initial launch period, the Venue commission rate is 0% (zero percent). The Venue will not be charged any commission on bookings during this period.

8A.3 Future Platform Commission. OpenMatch reserves the right to introduce a commission on the gross booking value of confirmed bookings ("Platform Commission"), subject to the following conditions:

(a) Notice: OpenMatch shall provide no less than 30 days' written notice (via email to the Venue's registered email address and via in-app notification) before any Platform Commission takes effect.

(b) Maximum Rate: The Platform Commission shall not exceed 20% of the gross booking value without the Venue's prior written consent.

(c) Right to Terminate: If the Venue does not accept the proposed Platform Commission, the Venue may terminate by providing written notice within the 30-day notice period. No penalty applies.

(d) Continued Use: If the Venue continues to use the Platform after the commission effective date without providing termination notice, this constitutes acceptance of the new commission rate.

(e) Founding Partners: Venues onboarded during the launch period may be offered preferential commission rates at OpenMatch's discretion. Any such preferential rates shall be confirmed in writing.

8A.4 Venue Subscription. The Venue may subscribe to a paid plan (Starter, Growth, or Premium) to access additional platform features. Subscription fees are billed monthly via the Venue's registered payment method. Plan details, features, and pricing are published on the Platform and may be updated with 30 days' notice. The Venue may change or cancel their plan at any time; changes take effect at the next billing cycle.

8A.5 Data Processing. OpenMatch processes venue data, booking data, and customer data as described in our Privacy Policy. The Venue agrees to display any required booking or data processing notices to their customers as directed by OpenMatch.

9 — Reviews

9.1 Following a completed booking, you may leave a review of the Venue on the Platform. Reviews must be honest, accurate, and based on your genuine personal experience.

9.2 You must not post reviews that are defamatory, offensive, false, or designed to harm a Venue's reputation without factual basis. OpenMatch may remove reviews that violate these standards.

9.3 OpenMatch does not verify the accuracy of reviews and is not responsible for their content. Reviews represent the views of individual users, not OpenMatch.

10 — Venue Listings and Content

10.1 Facility Listings on the Platform are created and maintained by Venues. OpenMatch does not own or operate any Facility and does not independently verify the accuracy of Facility Listings.

10.2 If you believe a Facility Listing contains inaccurate information, please report it to support@open-match.com.

10.3 Photographs and descriptions in Facility Listings are provided by Venues for illustrative purposes. OpenMatch makes no warranty that a Facility will exactly match its Listing in all respects.

11 — User Conduct

11.1 By using the Platform, you agree not to:

(a) use the Platform for any unlawful purpose, or in a way that violates any applicable law or regulation;

(b) post content that is abusive, harassing, threatening, defamatory, obscene, or discriminatory on the basis of race, gender, sexual orientation, religion, nationality, disability, or any other protected characteristic;

(c) create fake or misleading bookings, reviews, or Open Match listings;

(d) share your account credentials with any other person, or use another person's account;

(e) attempt to circumvent the Platform by arranging direct bookings with Venues you discovered through OpenMatch (see Article 5.2);

(f) use any automated tool, bot, scraper, or similar technology to access or extract data from the Platform without our prior written consent;

(g) interfere with the technical infrastructure of the Platform, including attempting to introduce malware, conduct denial-of-service attacks, or gain unauthorised access to OpenMatch's systems.

11.2 OpenMatch may remove content, suspend, or permanently ban accounts that violate these standards, at our sole discretion. We will give you notice before taking action unless immediate action is required to protect other users or the Platform.

11.3 Reporting. If another user's conduct causes you concern, you can report it via the in-app reporting tool or by contacting support@open-match.com. OpenMatch will investigate all reports and take appropriate action.

11.4 Protection of minors. A private chat with a user who, according to the date of birth they provided, is under 18 can only be started by that user, by other users who according to their date of birth are under 18, or by OpenMatch staff (such as support). Users without a date of birth on file count as adults for this rule. Existing chats are not affected. The rule does not apply to group chats (for example of an Open Match, a booking or a tournament) or to chats between a venue and its customer about a booking. Users under 18 can block any other user at any time and report them under Article 11.3.

12 — Intellectual Property

12.1 All intellectual property rights in the Platform — including its software, design, brand, logos, trademarks, and content created by OpenMatch — are owned by or licensed to OpenMatch. You may not reproduce, copy, distribute, or create derivative works of any Platform content without our express written permission.

12.2 You retain ownership of any content you submit to the Platform (such as profile photos or reviews). By submitting content, you grant OpenMatch a non-exclusive, royalty-free, worldwide licence to display and use that content on the Platform for the purpose of operating the service.

13 — Privacy and Data Protection

13.1 OpenMatch processes your personal data in accordance with GDPR and our Privacy Policy, which is available at [https://open-match.com/datenschutz](https://open-match.com/datenschutz). The Privacy Policy explains what data we collect, how we use it, who we share it with, and how you can exercise your rights as a data subject.

13.2 OpenMatch is the data controller for personal data you provide when using the Platform. Our registered address for data protection purposes is c/o Theresa Ensser, Fehrbelliner Str. 14A, 10119 Berlin, Germany. You may exercise your rights (access, rectification, erasure, portability, objection) by contacting us at support@open-match.com.

13.3 By accepting these Terms, you acknowledge that we will process your personal data as described in the Privacy Policy for the purpose of operating the Platform, processing bookings, and complying with our legal obligations.

13.4 These Terms refer to the Privacy Policy but do not replace it.

14 — Limitation of Liability

14.1 OpenMatch's role. Because OpenMatch acts as an intermediary marketplace, and does not own or operate any Venue, OpenMatch is not liable for: (a) the quality, safety, or fitness for purpose of any Facility or service provided by a Venue; (b) any injury, illness, death, or property damage occurring at or arising from use of a Venue; (c) a Venue's failure to honour a confirmed booking; (d) inaccuracies in Facility Listings.

14.1a Premises safety and sporting risk. The Venue operator alone bears the duty to keep its premises and equipment safe (Verkehrssicherungspflicht, § 823 BGB) and is your contractual partner for the sports service. Sport involves inherent physical risks; by participating in any activity booked through the Platform — including Open Matches with participants you do not know — you accept those inherent risks. This does not limit any liability that cannot lawfully be excluded (Article 14.4), and claims arising from unsafe premises or equipment are directed at the Venue.

14.2 Liability cap. To the maximum extent permitted by applicable law, OpenMatch's total aggregate liability to you in respect of all claims arising under or in connection with these Terms shall not exceed the total amount you have paid to OpenMatch in the twelve (12) months preceding the event giving rise to the claim.

14.3 Consequential loss. To the maximum extent permitted by law, OpenMatch is not liable for any indirect or consequential loss, including loss of enjoyment, travel costs, or any other costs incurred in anticipation of a booking that was not fulfilled by a Venue.

14.4 Mandatory rights. Nothing in these Terms excludes or limits OpenMatch's liability for: (a) death or personal injury caused by OpenMatch's negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be excluded under applicable consumer protection law, including the rights of German consumers under § 309 BGB. Your statutory consumer rights are not affected by these Terms.

14.5 Platform availability. OpenMatch does not guarantee that the Platform will be available at all times or free from errors. We will use reasonable efforts to provide a reliable service, but we are not liable for losses resulting from planned or unplanned downtime.

15 — Governing Law and Jurisdiction

15.1 This Agreement is governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory consumer-protection provisions of the state in which you have your habitual residence (Art. 6(2) Rome I Regulation). The courts of Berlin have jurisdiction to the extent that you are a merchant, a legal entity under public law or a special fund under public law, or have no general place of jurisdiction in Germany.

15.2 If you are a consumer in Germany, you may bring claims before the courts of your place of residence in Germany, in addition to the courts specified in the governing law clause.

15.3 Consumer ADR. The European Commission provides an online dispute resolution platform for consumers at https://ec.europa.eu/consumers/odr/. OpenMatch's email address for this purpose is support@open-match.com. We are not obliged to participate in alternative dispute resolution and do not currently do so, but we will always attempt to resolve disputes directly.

16 — Miscellaneous

16.1 Entire agreement. These Terms, together with the Privacy Policy and any other terms incorporated by reference, constitute the entire agreement between you and OpenMatch regarding your use of the Platform.

16.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force.

16.3 No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in future.

16.4 Assignment. We may transfer our rights and obligations under these Terms to a successor entity following a merger, acquisition, or group restructuring, without your consent, provided the successor assumes all obligations. You may not transfer your account or rights under these Terms.

16.5 Contact. For any questions about these Terms, contact us at: support@open-match.com

17 — Explained for young people

This summary satisfies Art. 14(3) of Regulation (EU) 2022/2065 (Digital Services Act). It explains the main points in plain language. Sections 1 to 16 and 18 remain the legally binding text.

17.1 What OpenMatch does. You use OpenMatch to book courts and time slots at sports venues, for example a padel or tennis court. You can also find open matches and look for people to play with. The sport itself is always provided by the venue, not by OpenMatch. We arrange the booking and handle the payment.

17.2 Minimum age. You must be at least 16 to hold an account. If you are under 18, you may book when you pay with money placed at your free disposal or when your parent or guardian agrees. Some venues require a higher minimum age.

17.3 What you may post. Reviews, messages and your profile are visible to others. Not allowed: insults, threats, bullying, hatred against groups, sexual content, advertising, other people's photos without permission, and false statements about others. If you break these rules we can remove your content and suspend your account. While you are under 18, going by the age given, users aged 18 or over cannot start a private chat with you, but you can start one with them. Adults can still write to you in group chats and in chats that already exist, and so can the OpenMatch team (for example support) and the venue you booked with. You can block and report any user.

17.4 If you see something wrong. You can report any content or account directly in the app, using the report icon next to it. You can also write to us at support@open-match.com. We look at every report and tell you what we decided.

17.5 If we remove something of yours. If we delete or hide your content, or suspend your account, we tell you why. You can reply if you think the decision is wrong, and we will look at it again.

17.6 Your data. What we store and why is set out in the Privacy Policy. You can delete your account at any time.

18 — openmatch Pro (subscription)

This Section 18 is legally binding. It supplements Sections 1 to 16 and governs only the paid "openmatch Pro" subscription. Your bookings and your contracts with Venues are not affected by it.

18.1 What openmatch Pro is. openmatch Pro is a paid subscription for your player account on the Platform. OpenMatch is your contracting party for the provision of the Pro benefits. The store operator is your contracting party for the purchase of the subscription (Section 18.3).

18.2 Benefits. For as long as your subscription is active, you receive the following benefits:

(a) Reduced service fee. The OpenMatch service fee on bookings made through the Platform is 5 per cent for Pro members instead of 10 per cent of the Venue's listed price. OpenMatch may change these rates in accordance with Section 18.10. The rate shown to you in the total price before payment is always the rate that applies.

(b) Priority on waitlists. If you join a waitlist for a booked-out slot or a full open match, you are placed ahead of all waiting members without Pro. Among Pro members, the time of joining decides the order.

(c) Full rating history. Your rating history is visible without a time limit. Without Pro it is limited to the last 30 days.

(d) All statistics. You get access to the full statistics area of your profile. Without Pro only the basic figures are available.

(e) Pro badge. Your player profile is marked with a Pro badge for other members.

Further benefits exist only to the extent that they are shown to you in the app as part of openmatch Pro.

18.3 Purchase exclusively through the app store. openmatch Pro is sold exclusively as an in-app subscription through the Apple App Store or through Google Play. The respective store operator (Apple or Google) is your contracting party for that purchase. The store operator processes the payment and is responsible, under its own terms, for invoices, renewals, cancellation and refunds. OpenMatch does not collect any subscription charge from you and stores no payment details for that purchase.

18.4 Price and billing period. The price and the billing period (monthly or yearly) are shown to you in the store before you purchase. The price shown there is the total price including statutory VAT. Payment is charged to your Apple ID or your Google account.

18.5 Automatic renewal and cancellation. The subscription renews automatically for the same period and at the price then applicable unless you cancel it at least 24 hours before the end of the current period. You cancel in your device's subscription settings (Apple: Settings, your name, Subscriptions; Google: Play Store, Subscriptions).

18.6 Effect of cancellation. Cancellation takes effect at the end of the current billing period. Your Pro benefits continue until then; afterwards your account returns to free access with nothing further to do. You may additionally notify us of your cancellation in text form at support@open-match.com. However, only cancelling in your device's subscription settings stops the billing, because the store operator is your contracting party for the purchase.

18.7 No pro-rata refund by OpenMatch. OpenMatch does not apportion and does not refund anything for a billing period that has been paid for but not fully used. Refunds are governed exclusively by the store operator's rules and must be requested there. Your statutory rights are not affected.

18.8 Right of withdrawal. Because the purchase contract for the subscription is concluded with the store operator, any right of withdrawal exists in relation to the store operator and is exercised under its terms. You receive the withdrawal instructions and any model withdrawal form there. For contracts concerning digital content, the right of withdrawal lapses under § 356(5) of the German Civil Code (BGB) where the trader has begun performing the contract after you expressly consented and confirmed your knowledge that you lose your right of withdrawal once performance begins. OpenMatch grants no separate right of withdrawal of its own for the purchase of the subscription. Your rights in respect of bookings arranged through the Platform and of the service fee charged for them continue to be governed by the provisions applicable to them and are not affected by this Section.

18.9 Introductory and promotional offers. If the store operator offers an introductory or promotional offer, for example a discounted or free first period, its conditions and duration are shown in the store before you purchase. After the offer period ends, the subscription renews at the standard price unless you cancel it in accordance with Section 18.5.

18.10 Changes to the Pro benefits. OpenMatch may change the benefits listed in Section 18.2 or discontinue individual benefits. We will inform you of a change that impairs your benefits more than insignificantly at least thirty (30) days before it takes effect, via the Platform and by email. If you do not agree with the change, you may cancel your subscription in accordance with Section 18.5 before the change takes effect. Price changes for a running subscription are announced by the store operator and take effect only in accordance with its rules.

18.11 Account deletion. If you delete your openmatch account, your access to the Pro benefits ends with it. OpenMatch makes no refund. Deleting your account does not cancel the subscription in the store. Please therefore also cancel it in your device's subscription settings, otherwise billing continues.

18.12 Personal and non-transferable. openmatch Pro is tied to your account, applies only to your personal use, and cannot be transferred, shared or resold.
